“An interesting dynamic emerged between the strategic buyers and the private equity firms. The strategic buyers saw significant synergies in acquiring the company and could integrate it directly into their existing platforms, while the private equity firms saw the potential to convert it into a full-fledged insurance company. This competition drove up both the price and the deal terms.”

“It quickly became clear to us that we needed to look toward the UK, where private equity firms had experience converting MGA structures into insurance companies.
